Terms of Service

Not final legal advice: this document is a strong, standard-form draft modeled on common SaaS terms. It has not been reviewed by an attorney, and the legal entity name, governing-law jurisdiction, and contact addresses marked with [ ] are placeholders pending founder input. No Terms of Service can protect a business against "all imaginable" liability — consumer-protection law limits what can be disclaimed (e.g. gross negligence, security breaches you're responsible for, intentional misconduct), and this draft does not attempt to claim otherwise. Have it reviewed by a lawyer before relying on it.

These Terms of Service ("Terms") govern your access to and use of Daily-flow (the "Service"), operated by [Daily-flow, Inc. — legal entity name to be confirmed] ("Daily-flow," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, and able to form a binding contract, to use the Service. By using the Service, you represent that you meet these requirements.

2. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at [legal@daily-flow.io] if you suspect unauthorized use of your account.

3. Connected third-party accounts

The Service works by connecting to third-party accounts you authorize — currently Google accounts (Gmail and Calendar, read-only access). You represent that you have the right to grant Daily-flow access to any account you connect. Your use of connected third-party services remains subject to that provider's own terms (e.g., Google's Terms of Service and the Google API Services User Data Policy). We are not responsible for the availability, accuracy, or content of third-party services. You can disconnect a linked account at any time from your account settings or directly from that provider's permissions page.

4. Subscriptions and billing

Some features of the Service require a paid subscription. By subscribing, you authorize us (through our payment processor, Stripe) to charge your chosen payment method on a recurring basis at the price and interval shown at signup, until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds for partial periods except where required by law. Prices may change with advance notice; continued use after a price change takes effect constitutes acceptance of the new price.

5. Acceptable use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law;
Attempt to gain unauthorized access to the Service, other users' accounts, or our systems;
Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
Use automated means to access the Service in a way that sends more requests than a human could reasonably produce, except through interfaces we explicitly provide;
Interfere with or disrupt the integrity or performance of the Service;
Resell or provide the Service to third parties without our written consent.

6. Intellectual property

The Service, including its software, design, and branding, is owned by Daily-flow and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms. You retain ownership of the data in the third-party accounts you connect; connecting an account grants us only the license needed to access and process that data to provide the Service to you, as described in our Privacy Policy.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that it will correctly identify every commitment or deadline relevant to you. The Service is a productivity aid, not a substitute for your own judgment — you remain responsible for your own deadlines and commitments.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAILY-FLOW AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability for gross negligence, willful misconduct, or anything else that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold Daily-flow harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, or if we discontinue the Service, with notice where reasonably practicable. Sections that by their nature should survive termination (including Sections 7, 8, 9, and 11) will survive.

11. Dispute resolution

These Terms are governed by the laws of [the State of Delaware, United States — jurisdiction to be confirmed], without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved through binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court. You and Daily-flow each waive the right to a jury trial and to participate in a class action. 12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

13. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Daily-flow regarding the Service.
